David G. Hutchens is President and Chief Executive Officer.

Mr. Hutchens’ career in the energy sector spans more than 25 years, having held a variety of positions at the Corporation’s electric and gas utilities in Arizona as well as with Fortis. Mr. Hutchens was most recently Chief Operating Officer of Fortis as well as Chief Executive Officer of UNS Energy Corporation in Arizona. Prior to that, he was Executive Vice President of Western Utility Operations of Fortis while also maintaining his responsibilities as President and CEO of UNS Energy Corporation.

Mr. Hutchens holds a Bachelor of Aerospace Engineering and a Master of Business Administration from the University of Arizona and is a former nuclear submarine officer in the U.S. Navy.

He serves on the Boards of ITC Holdings and FortisBC, both Fortis utilities.  

Jocelyn H. Perry is Executive Vice President, Chief Financial Officer.
 
Ms. Perry has an extensive career in the utility business, having worked at Newfoundland Power for 13 years in a variety of capacities, including Chief Financial Officer, Chief Operating Officer and President and Chief Executive Officer. She is a prior Director of Finance at Fortis in the early 2000s, and previously served in other financial capacities in the private sector.
 
She is a Fellow Chartered Professional Accountant (2018), completed a Bachelor of Commerce (Honours) at Memorial University and received her Chartered Accountant Designation in the early 1990s. 
 
Ms. Perry has considerable community and professional board experience in Newfoundland and Labrador. She currently serves on the board of Shorefast, and is a past board member and Chair of the Health Care Foundation. She also serves on the Boards of UNS Energy and ITC Holdings, both Fortis utilities. 

James R. Reid is Executive Vice President, Sustainability and Chief Legal Officer.

Mr. Reid joined Fortis in the role of Executive Vice President, Chief Legal Officer and Corporate Secretary in 2018 and was appointed to his current role in 2022. He was previously a partner with Davies Ward Phillips & Vineberg LLP in Toronto where he practiced for 20 years. Prior to joining Fortis, Mr. Reid had a long relationship with the Corporation, having advised on corporate governance matters, large capital market transactions, regulatory applications and mergers and acquisitions in both Canada and the United States.

He holds a Bachelor of Laws from the Peter A. Allard School of Law, University of British Columbia, and Bachelor of Arts (Political Science) from McGill University in Montreal.

Mr. Reid was an adjunct professor at Osgoode Hall Law School in Toronto for 10 years, teaching the Advanced Business Law Workshop in corporate finance. He was also an original member of the Dean’s Advisory Committee for the Centre for Business Law at the University of British Columbia, serving until 2020.

Mr. Reid serves on the Boards of Directors of FortisBC and Central Hudson, both Fortis utilities. He also serves on the Board of Directors of Wataynikaneyap Power PM, a Fortis subsidiary acting as the project manager for the Wataynikaneyap Power Transmission Project, a partnership with 24 First Nations that is building a transmission line to connect 17 First Nations communities in Northwestern Ontario to the power grid.

Gary J. Smith is Executive Vice President, Operations and Innovation.

Mr. Smith has held a number of senior leadership positions with the Fortis Group throughout his 35-year tenure. He was previously Executive Vice President, Eastern Canadian and Caribbean Operations, Fortis Inc.; President and Chief Executive Officer of Newfoundland Power; Vice President of Customer Operations and Engineering of Newfoundland Power; and Vice President of Operations and Engineering of FortisAlberta.

Mr. Smith holds a Bachelor of Engineering (Electrical) from Memorial University. He has completed the Finance for Senior Executives Program at the Harvard Business School.

Mr. Smith currently serves on the Boards of FortisAlberta, FortisOntario, UNS Energy, Caribbean Utilities, FortisTCI, and Belize Electric Company Limited (BECOL), all Fortis utilities. Stuart I. Lochray is Senior Vice President, Capital Markets and Business Development.

Prior to joining the Fortis team in September 2021, Mr. Lochray held progressively more responsible positions with Scotiabank, most recently serving as Managing Director and Head US Corporate and Investment Banking in Houston, Texas where he led and managed 225+ professionals throughout Corporate and Investment Banking, Equity Capital Markets and Global Business Payments. Mr. Lochray has also served as Managing Director in various other areas of investing banking with a focus on the power and utilities sector.

Mr. Lochray is a Master of Engineering and MBA graduate whose  career has spanned North America and the United Kingdom, as well as Pakistan. Mr. Lochray currently serves on the board of FortisAlberta. 

Stephanie A. Amaimo is Vice President, Investor Relations.

Ms. Amaimo joined Fortis Inc. in 2016. Previously, she worked at ITC Holdings Corp. (ITC) for more than 10 years where she held various roles in investor relations, treasury, and financial planning and analysis. Ms. Amaimo was the Director of Investor Relations at the time of the Fortis acquisition of ITC.

She holds a Bachelor of Administration from The University of Michigan-Dearborn and a Master of Business Administration from Wayne State University.

Ms. Amaimo volunteers and supports several non-profit organizations, and served on the Board of Directors for North Star Reach which offers life-changing camp experiences for children with serious health challenges and their families. 

Julie Avery is Vice President, Controller.

Ms. Avery joined the Fortis group of companies in 2011. She led the finance function at Newfoundland Power until 2017 at which time she moved to Fortis Inc. and assumed leadership roles in executive compensation and financial planning. She was appointed Senior Director, Finance of Fortis in 2020 at which time her role was broadened to include responsibility of the entire finance function. She was appointed Vice President, Controller of Fortis in 2022. 
  
Ms. Avery holds a Bachelor of Commerce (Honours) from Memorial University and is a member of the Association of Chartered Professional Accountants of Newfoundland and Labrador.
 
Her community involvement includes acting as Vice-Chair of the Board of Governors for Commissionaires Newfoundland and Labrador.

 

Tanya Finlay is Vice President, People and Culture

Ms. Finlay joined the Fortis group of companies in 2009. She led the corporate human resource function with Fortis Properties until 2015 and was subsequently appointed Director, Talent Management and Human Resources with Fortis Inc. She was appointed Vice President, People and Culture in 2023 and is responsible for the enterprise’s human resources strategy, talent management, diversity, equity and inclusion.    

Before joining Fortis, Ms. Finlay’s work experience was concentrated in Newfoundland and Labrador’s public health sector, where she held progressively senior human resource management roles, including Vice President, Human Resources with the province’s second-largest regional health authority.

Ms. Finlay earned a Bachelor of Commerce from Memorial University and a Master of Industrial Relations from Queen’s University. 

She has served as a board director in the non-profit and financial services sectors and represented Fortis as Diversity Champion with the Women Executive Network (WXN), a national organization dedicated to propelling the advancement of diverse women across Canada.

 

Keri L. Glitch is Vice President, Chief Information Officer

Ms. Glitch’s career began in the energy sector in 2005. She provides information technology and cybersecurity oversight at Fortis. Before joining Fortis, she was Chief Digital Officer and Chief Information Security Officer at Midcontinent Independent System Operator (MISO). She was responsible for integrating MISO’s technology functions and developing long-term digital strategy to enable reliable and secure operations for future grid requirements. A veteran technology leader, Ms. Glitch also formally served as the Chief Security Officer for AVANGRID and Chief Information Officer for Iberdrola USA.

Ms. Glitch holds a Bachelor of Science from the State University of New York at Geneseo and a Master of Science in multidisciplinary studies from the Rochester Institute of Technology.

Her former board experience includes Midwest Reliability Organization, where she served as Chair of their Organizational Group Oversight committee.

Karen J. Gosse is Vice President, Finance.

Ms. Gosse’s career with the Fortis Group spans almost 20 years. She was Vice President and Chief Financial Officer of Fortis Properties from 2013-2015. She joined the Fortis organization in 2004 as an Internal Auditor at Fortis Properties, and in 2005 was appointed Manager, Financial Reporting with Fortis, a position she held for eight years. Karen was appointed Vice President, Planning and Forecasting in 2015, a position she held for three years. She was appointed Vice President, Treasury and Planning of Fortis in 2018, Vice President, Controller in 2021 and Vice President, Finance in 2022.

Ms. Gosse holds a Bachelor of Commerce (Honours) from Memorial University and is a member of the Association of Chartered Professional Accountants of Newfoundland and Labrador.

Ms. Gosse serves on the Board of Directors of CPA Canada (Audit Committee), Gymnastics Newfoundland and Labrador and, as of May 2023,  Caribbean Utilities Company, Ltd. (TSX:  CUP.U). 

Kealey Martin is Vice President, Sustainability and Climate Strategy

Ms. Martin’s career with Fortis spans almost 20 years. She’s held positions with Fortis Inc., Fortis Properties, and Newfoundland Power.  Prior to becoming Director, Sustainability in 2019, Ms. Martin led the Investor Relations team at Fortis Inc., where she assisted in growing the shareholder profile of Fortis and listing the company on the New York Stock Exchange.  She was appointed Vice President, Sustainability and Climate Strategy in 2023. 

She holds a Bachelor of Commerce and a Master of Business Administration from Memorial University. Ms. Martin is a member of the Association of Chartered Professional Accountants of Newfoundland and Labrador and has a Certified Professional in Investor Relations designation.

Ms. Martin volunteers and supports several non-profit organizations, including serving as Treasurer on the Board of Directors of Special Olympics Newfoundland and Labrador. 

Karen M. McCarthy is Vice President, Communications and Government Relations.

Ms. McCarthy has been with the Fortis group of companies for over a decade, joining Newfoundland Power in 2013 as Manager, Corporate Affairs and Communications and subsequently Director, Customer and Corporate Relations. She joined Fortis Inc. in 2016 as Director, Communications and Corporate Affairs and was appointed Vice President, Communications and Corporate Affairs in 2018 and to her current role in 2023. 

Ms. McCarthy was previously President of an Atlantic Canadian public affairs consulting firm for seven years. She spent 15 years in the Newfoundland and Labrador provincial public service with senior roles in communications, cabinet operations, energy, labour relations and intergovernmental affairs.

She holds a Bachelor of Public Relations from Mount Saint Vincent University and a Master of Education (Leadership) from Memorial University. She was awarded the ICD.D designation from the Institute of Corporate Directors (ICD) in 2017. 

Ms. McCarthy is Chair of the Newfoundland and Labrador Independent Appointments Commission, Past Chair of the Newfoundland and Labrador Chapter of ICD, and past Regent and Committee Chair on Memorial University's Board of Regents. Ms. McCarthy serves on the Board of Directors of Maritime Electric, a Fortis Utility. She is active within the Canadian Electricity Association and Edison Electric Institute and is an avid arts and business volunteer. 

 

Regan P. O’Dea is Vice President, General Counsel.

Prior to joining Fortis Inc. in 2014, Regan worked in private practice in Newfoundland and Labrador where he represented the interests of Fortis Inc., and in-house with a national insurance company.

Regan graduated from Mount Allison University with a Bachelor of Science in 1997 and from the University of New Brunswick with a Bachelor of Laws in 2000. He was admitted to the Law Society of Newfoundland and Labrador in 2001. Regan holds the CIC.C designation (Certified In-House Counsel-Canada) having contributed to the program’s early development and worked as part-time faculty at Memorial University business school.

He currently serves as the Chair of the Board of Governors of the Law Foundation of Newfoundland and Labrador. He also serves on the Board of Directors of Newfoundland Power Inc. and FortisOntario Inc., both Fortis utilities.

Kevin Woodbury is Vice President, Innovation and Technology.

Mr. Woodbury’s career with Fortis spans nearly 20 years. Since 2016, he has worked in director roles in business development and innovation. Prior to that, he worked at Fortis Properties where he held various leadership positions in regional hotel operations and human resources. 
  
Mr. Woodbury earned a Master of Business Administration at Memorial University and a Bachelor of Science (Hons) in Occupational Therapy at Dalhousie University. He is also a graduate of the Energy Executive Course at the University of Idaho.
 
Mr. Woodbury is active in the community. He currently chairs the Board of Opera on the Avalon, the largest opera company east of Montreal. He also serves on the Board of Shorefast Social Enterprises, a suite of social businesses including the award-winning Fogo Island Inn, that are part of the Shorefast charity. Mr. Woodbury is also on the Board of the Alliance for Transportation Electrification and is active with the Edison Electric Institute and Electric Power Research Institute.

Jo Mark Zurel is Chair of the Board of Fortis.

Tracey C. Ball is a Corporate Director of Fortis.

She is a member of the Chartered Professional Accountants of Alberta and the Chartered Professional Accountants of British Columbia. Ms. Ball was elected as a Fellow of the Chartered Professional Accountants of Alberta in 2007. She holds an ICD.D designation from the Institute of Corporate Directors.

Ms. Ball was appointed to the Audit Committee in May 2014 and served as the Chair of the Audit Committee from May 2017 to May 2021. Pierre J. Blouin is Chair of the Governance and Sustainability Committee of Fortis. 

Mr. Blouin served as the Chief Executive Officer of Manitoba Telecom Services, Inc. until his retirement in December 2014. Prior to joining Manitoba Telecom Services, Inc. as its Chief Executive Officer in 2005, Mr. Blouin held various executive positions in the Bell Canada Enterprises group of companies, including Group President, Consumer Markets for Bell Canada, Chief Executive Officer of BCE Emergis, Inc. and Chief Executive Officer of Bell Mobility.

Mr. Blouin graduated from Hautes Etudes Commerciales with a Bachelor of Commerce in Business Administration. He is a Fellow of the Purchasing Management Association of Canada.

Mr. Blouin was appointed to the Human Resources Committee in May 2015, the Governance and Sustainability Committee in May 2016, and became Chair of the Governance and Sustainability Committee in January 2020.

Lawrence T. Borgard is a Corporate Director of Fortis.

Mr. Borgard is the former President and Chief Operating Officer of Integrys Energy Group and the Chief Executive Officer of each of Integrys’ six regulated electric and natural gas utilities. Mr. Borgard retired in 2015, following the successful sale of Integrys. Prior to serving as President at Integrys, Mr. Borgard served in a variety of executive roles.

Mr. Borgard graduated from Michigan State University with a Bachelor of Science (Electrical Engineering) and the University of Wisconsin-Oshkosh with an MBA. Mr. Borgard also attended the Advanced Management Program at Harvard University Business School.

Mr. Borgard was appointed to the Audit Committee in May 2017 and the Human Resources Committee in May 2018.

Maura J. Clark is Chair of the Audit Committee of Fortis.

Ms. Clark retired from Direct Energy, a subsidiary of Centrica plc, in March 2014 where she was President of Direct Energy Business, a leading energy retailer in Canada and the United States. Previously, Ms. Clark was Executive Vice President of North American Strategy and Mergers and Acquisitions for Direct Energy. Ms. Clark's prior experience includes investment banking and serving as Chief Financial Officer of an independent oil refining and marketing company.

Ms. Clark graduated from Queen′s University with a Bachelor of Arts in Economics. She is a member of the Association of Chartered Professional Accountants of Ontario.

Ms. Clark was appointed to the Audit Committee in May 2015 and became Chair of the Audit Committee in May 2021. She served on the Governance and Sustainability Committee from May 2016 to May 2022. She was appointed to the Human Resources Committee in May 2022.

Lisa Crutchfield is a Corporate Director of Fortis.

Ms. Crutchfield is Managing Principal of Hudson Strategic Advisers, LLC, an economic analysis and strategic advisory firm to the energy, financial services and government sectors. Ms. Crutchfield has over 30 years of leadership experience in the energy and utility industries. Prior to founding Hudson in 2012, she was Executive Vice President and Chief Regulatory, Risk and Compliance Officer for National Grid, plc, and she held various executive roles at PECO, an Exelon Company, and Duke Energy Corporation. From 1993 to 1997, Ms. Crutchfield served as Vice Chairman on the Pennsylvania Public Utility Commission ruling on regulatory matters affecting the electric, gas, telecommunications, water and wastewater industries.

Ms. Crutchfield earned a Bachelor of Arts degree in Economics and Political Science from Yale University and an MBA from Harvard Business School with distinction in Finance. Ms. Crutchfield earned the Governance Leadership Fellow designation from the National Association of Corporate Directors (NACD).

Ms. Crutchfield was appointed to the Governance and Sustainability Committee in May 2022 and the Human Resources Committee in 2023.

Margarita K. Dilley is a Corporate Director of Fortis.

Ms. Dilley retired from ASTROLINK International LLC in 2004, an international wireless broadband telecommunications company, where she was Vice President and Chief Financial Officer. Ms. Dilley’s prior experience includes serving as Director, Strategy & Corporate Development as well as Treasurer for Intelsat.

Ms. Dilley graduated from Cornell University with a Bachelor of Arts, from Columbia University with a Master of Arts and from Wharton Graduate School, University of Pennsylvania with an MBA. 

Ms. Dilley was appointed to the Audit Committee in May 2016 and the Human Resources Committee in May 2017.  She has served as a director of CH Energy Group since December 2004 and Central Hudson since June 2013 and has served as the Chair of those boards since January 2015. 

Julie A. Dobson is Chair of the Human Resources Committee of Fortis.

Ms. Dobson is Non-Executive Chairman of Telebright, Inc. a private firm established in 1989, where she oversees the development of telecom management software applications and mobile applications for the business to business and business to consumer markets. She was Chief Operating Officer at Telecorp PCS, Inc. and held various senior management positions with Bell Atlantic Corporation during her 18-year career with the company.

Ms. Dobson graduated from the College of William and Mary with a Bachelor of Science and from the University of Pittsburgh with an MBA.

Ms. Dobson was appointed to the Governance and Sustainability Committee in May 2018 and the Human Resources Committee in May 2020. She was appointed Chair of the Human Resources Committee in May 2022. 

 

Lisa L. Durocher is Executive Vice President, Financial and Emerging Services, Rogers Communications Inc.

Ms. Durocher leads Financial and Emerging Services at Rogers Communications. As part of the executive leadership team, she oversees Rogers Bank and develops emerging services for the company. Prior to this role, Lisa was the Chief Digital Officer at Rogers where she led the digital strategy, design and delivery for digital platforms across the consumer and enterprise businesses. Lisa has been with Rogers since 2016. Prior to joining Rogers, Lisa worked at American Express in New York City where she held several senior leadership positions over 15 years including leading global product and marketing organizations in digital payments, charge cards and travel which provided her with experience in mergers and acquisitions, product design and development and general management.

Ms. Durocher is a graduate of Wilfrid Laurier University’s Business Administration program and also sits on the board of Rogers Bank.

She was appointed to the Governance and Sustainability Committee in May 2021 and the Audit Committee in May 2022.

Gianna M. Manes is a Corporate Director of Fortis.

Ms. Manes was President and Chief Executive Officer of ENMAX Corporation, an electricity company with operations in Alberta and Maine, from 2012 until her retirement in July 2020. She has over 30 years of experience in the energy sector in Canada, the United States and Europe. Prior to joining ENMAX, she worked for Duke Energy, one of the largest integrated utilities in North America, and held a number of executive positions including Senior Vice President and Chief Customer Officer from 2008 to 2012.

Ms. Manes graduated from Louisiana State University with a Bachelor of Science in industrial engineering and from the University of Houston with an MBA. She completed the Advanced Management Program at Harvard University and holds an ICD.D designation from the Institute of Corporate Directors.

Ms. Manes was appointed to the Human Resources Committee in May 2021 and the Governance and Sustainability Committee in May 2023. She served on the Audit Committee from May 2021 to May 2023.

Donald R. Marchand is a Corporate Director of Fortis.

Mr. Marchand retired in November 2021 from TC Energy Corporation, a leading North American energy infrastructure company, where he was Executive Vice-President. He served as Chief Financial Officer of TC Energy and its predecessor TransCanada Corporation from 2010 until July 2021, with additional responsibility for Strategy and Corporate Development from 2015 to 2017 and 2020 to 2021. During his 27-year tenure with the company, Mr. Marchand led many of its financial functions including treasury, finance, accounting, taxation, risk management and investor relations.

Mr. Marchand graduated from the University of Manitoba with a Bachelor of Commerce degree and subsequently qualified as a Chartered Accountant and Chartered Financial Analyst. He is a member of the Institute of Chartered Professional Accountants of Alberta, the CFA Institute and the Calgary Society of Financial Analysts.

Mr. Marchand was appointed to the Audit Committee and Governance and Sustainability Committee in May 2023.

  David G. Hutchens is President and Chief Executive Officer.
  
  Mr. Hutchens’ career in the energy sector spans more than 25 years, having held a variety of positions at the Corporation’s electric and gas utilities in Arizona as well as with Fortis. Mr. Hutchens was most recently Chief Operating Officer of Fortis as well as Chief Executive Officer of UNS Energy Corporation in Arizona. Prior to that, he was Executive Vice President of Western Utility Operations of Fortis while also maintaining his responsibilities as President and CEO of UNS Energy Corporation.
  
  Mr. Hutchens holds a Bachelor of Aerospace Engineering and a Master of Business Administration from the University of Arizona and is a former nuclear submarine officer in the U.S. Navy.
  
  He serves on the Boards of ITC Holdings and FortisBC, both Fortis utilities.  
  
• Jocelyn H. Perry, Executive Vice President, Chief Financial Officer
  Jocelyn H. Perry is Executive Vice President, Chief Financial Officer.
   
  Ms. Perry has an extensive career in the utility business, having worked at Newfoundland Power for 13 years in a variety of capacities, including Chief Financial Officer, Chief Operating Officer and President and Chief Executive Officer. She is a prior Director of Finance at Fortis in the early 2000s, and previously served in other financial capacities in the private sector.
   
  She is a Fellow Chartered Professional Accountant (2018), completed a Bachelor of Commerce (Honours) at Memorial University and received her Chartered Accountant Designation in the early 1990s. 
   
  Ms. Perry has considerable community and professional board experience in Newfoundland and Labrador. She currently serves on the board of Shorefast, and is a past board member and Chair of the Health Care Foundation. She also serves on the Boards of UNS Energy and ITC Holdings, both Fortis utilities. 
• James R. Reid, Executive Vice President, Sustainability and Chief Legal Officer
  James R. Reid is Executive Vice President, Sustainability and Chief Legal Officer.
  
  Mr. Reid joined Fortis in the role of Executive Vice President, Chief Legal Officer and Corporate Secretary in 2018 and was appointed to his current role in 2022. He was previously a partner with Davies Ward Phillips & Vineberg LLP in Toronto where he practiced for 20 years. Prior to joining Fortis, Mr. Reid had a long relationship with the Corporation, having advised on corporate governance matters, large capital market transactions, regulatory applications and mergers and acquisitions in both Canada and the United States.
  
  He holds a Bachelor of Laws from the Peter A. Allard School of Law, University of British Columbia, and Bachelor of Arts (Political Science) from McGill University in Montreal.
  
  Mr. Reid was an adjunct professor at Osgoode Hall Law School in Toronto for 10 years, teaching the Advanced Business Law Workshop in corporate finance. He was also an original member of the Dean’s Advisory Committee for the Centre for Business Law at the University of British Columbia, serving until 2020.
  
  Mr. Reid serves on the Boards of Directors of FortisBC and Central Hudson, both Fortis utilities. He also serves on the Board of Directors of Wataynikaneyap Power PM, a Fortis subsidiary acting as the project manager for the Wataynikaneyap Power Transmission Project, a partnership with 24 First Nations that is building a transmission line to connect 17 First Nations communities in Northwestern Ontario to the power grid.

  Gary J. Smith is Executive Vice President, Operations and Innovation.
  
  Mr. Smith has held a number of senior leadership positions with the Fortis Group throughout his 35-year tenure. He was previously Executive Vice President, Eastern Canadian and Caribbean Operations, Fortis Inc.; President and Chief Executive Officer of Newfoundland Power; Vice President of Customer Operations and Engineering of Newfoundland Power; and Vice President of Operations and Engineering of FortisAlberta.
  
  Mr. Smith holds a Bachelor of Engineering (Electrical) from Memorial University. He has completed the Finance for Senior Executives Program at the Harvard Business School.
  
  Mr. Smith currently serves on the Boards of FortisAlberta, FortisOntario, UNS Energy, Caribbean Utilities, FortisTCI, and Belize Electric Company Limited (BECOL), all Fortis utilities. • Stuart I. Lochray, Senior Vice President, Capital Markets and Business Development
  Stuart I. Lochray is Senior Vice President, Capital Markets and Business Development.
  
  Prior to joining the Fortis team in September 2021, Mr. Lochray held progressively more responsible positions with Scotiabank, most recently serving as Managing Director and Head US Corporate and Investment Banking in Houston, Texas where he led and managed 225+ professionals throughout Corporate and Investment Banking, Equity Capital Markets and Global Business Payments. Mr. Lochray has also served as Managing Director in various other areas of investing banking with a focus on the power and utilities sector.
  
  Mr. Lochray is a Master of Engineering and MBA graduate whose  career has spanned North America and the United Kingdom, as well as Pakistan. Mr. Lochray currently serves on the board of FortisAlberta.

  Stephanie A. Amaimo is Vice President, Investor Relations.
  
  Ms. Amaimo joined Fortis Inc. in 2016. Previously, she worked at ITC Holdings Corp. (ITC) for more than 10 years where she held various roles in investor relations, treasury, and financial planning and analysis. Ms. Amaimo was the Director of Investor Relations at the time of the Fortis acquisition of ITC.
  
  She holds a Bachelor of Administration from The University of Michigan-Dearborn and a Master of Business Administration from Wayne State University.

  Julie Avery is Vice President, Controller.
  
  Ms. Avery joined the Fortis group of companies in 2011. She led the finance function at Newfoundland Power until 2017 at which time she moved to Fortis Inc. and assumed leadership roles in executive compensation and financial planning. She was appointed Senior Director, Finance of Fortis in 2020 at which time her role was broadened to include responsibility of the entire finance function. She was appointed Vice President, Controller of Fortis in 2022. 
    
  Ms. Avery holds a Bachelor of Commerce (Honours) from Memorial University and is a member of the Association of Chartered Professional Accountants of Newfoundland and Labrador.

  Tanya Finlay is Vice President, People and Culture
  
  Ms. Finlay joined the Fortis group of companies in 2009. She led the corporate human resource function with Fortis Properties until 2015 and was subsequently appointed Director, Talent Management and Human Resources with Fortis Inc. She was appointed Vice President, People and Culture in 2023 and is responsible for the enterprise’s human resources strategy, talent management, diversity, equity and inclusion.    
  
  Before joining Fortis, Ms. Finlay’s work experience was concentrated in Newfoundland and Labrador’s public health sector, where she held progressively senior human resource management roles, including Vice President, Human Resources with the province’s second-largest regional health authority.
  
  Ms. Finlay earned a Bachelor of Commerce from Memorial University and a Master of Industrial Relations from Queen’s University. 
  
  She has served as a board director in the non-profit and financial services sectors and represented Fortis as Diversity Champion with the Women Executive Network (WXN), a national organization dedicated to propelling the advancement of diverse women across Canada.

  Keri L. Glitch is Vice President, Chief Information Officer
  
  Ms. Glitch’s career began in the energy sector in 2005. She provides information technology and cybersecurity oversight at Fortis. Before joining Fortis, she was Chief Digital Officer and Chief Information Security Officer at Midcontinent Independent System Operator (MISO). She was responsible for integrating MISO’s technology functions and developing long-term digital strategy to enable reliable and secure operations for future grid requirements. A veteran technology leader, Ms. Glitch also formally served as the Chief Security Officer for AVANGRID and Chief Information Officer for Iberdrola USA.
  
  Ms. Glitch holds a Bachelor of Science from the State University of New York at Geneseo and a Master of Science in multidisciplinary studies from the Rochester Institute of Technology.
  
  Her former board experience includes Midwest Reliability Organization, where she served as Chair of their Organizational Group Oversight committee.

  Ms. Gosse’s career with the Fortis Group spans almost 20 years. She was Vice President and Chief Financial Officer of Fortis Properties from 2013-2015. She joined the Fortis organization in 2004 as an Internal Auditor at Fortis Properties, and in 2005 was appointed Manager, Financial Reporting with Fortis, a position she held for eight years. Karen was appointed Vice President, Planning and Forecasting in 2015, a position she held for three years. She was appointed Vice President, Treasury and Planning of Fortis in 2018, Vice President, Controller in 2021 and Vice President, Finance in 2022.
  
  Ms. Gosse holds a Bachelor of Commerce (Honours) from Memorial University and is a member of the Association of Chartered Professional Accountants of Newfoundland and Labrador.

  Ms. Martin’s career with Fortis spans almost 20 years. She’s held positions with Fortis Inc., Fortis Properties, and Newfoundland Power.  Prior to becoming Director, Sustainability in 2019, Ms. Martin led the Investor Relations team at Fortis Inc., where she assisted in growing the shareholder profile of Fortis and listing the company on the New York Stock Exchange.  She was appointed Vice President, Sustainability and Climate Strategy in 2023. 
  
  She holds a Bachelor of Commerce and a Master of Business Administration from Memorial University. Ms. Martin is a member of the Association of Chartered Professional Accountants of Newfoundland and Labrador and has a Certified Professional in Investor Relations designation.

  Ms. McCarthy has been with the Fortis group of companies for over a decade, joining Newfoundland Power in 2013 as Manager, Corporate Affairs and Communications and subsequently Director, Customer and Corporate Relations. She joined Fortis Inc. in 2016 as Director, Communications and Corporate Affairs and was appointed Vice President, Communications and Corporate Affairs in 2018 and to her current role in 2023. 
  
  Ms. McCarthy was previously President of an Atlantic Canadian public affairs consulting firm for seven years. She spent 15 years in the Newfoundland and Labrador provincial public service with senior roles in communications, cabinet operations, energy, labour relations and intergovernmental affairs.
  
  She holds a Bachelor of Public Relations from Mount Saint Vincent University and a Master of Education (Leadership) from Memorial University. She was awarded the ICD.D designation from the Institute of Corporate Directors (ICD) in 2017. 
  
  Ms. McCarthy is Chair of the Newfoundland and Labrador Independent Appointments Commission, Past Chair of the Newfoundland and Labrador Chapter of ICD, and past Regent and Committee Chair on Memorial University's Board of Regents. Ms. McCarthy serves on the Board of Directors of Maritime Electric, a Fortis Utility.   Prior to joining Fortis Inc. in 2014, Regan worked in private practice in Newfoundland and Labrador where he represented the interests of Fortis Inc., and in-house with a national insurance company.

  Regan graduated from Mount Allison University with a Bachelor of Science in 1997 and from the University of New Brunswick with a Bachelor of Laws in 2000. He was admitted to the Law Society of Newfoundland and Labrador in 2001. Regan holds the CIC.C designation (Certified In-House Counsel-Canada) having contributed to the program’s early development and worked as part-time faculty at Memorial University business school.

• Kevin D. Woodbury, Vice President, Innovation and Technology
  Kevin Woodbury is Vice President, Innovation and Technology.
  
  Mr. Woodbury’s career with Fortis spans nearly 20 years. Since 2016, he has worked in director roles in business development and innovation. Prior to that, he worked at Fortis Properties where he held various leadership positions in regional hotel operations and human resources. 
    
  Mr. Woodbury earned a Master of Business Administration at Memorial University and a Bachelor of Science (Hons) in Occupational Therapy at Dalhousie University. He is also a graduate of the Energy Executive Course at the University of Idaho.
   
  Mr. Woodbury is active in the community. He currently chairs the Board of Opera on the Avalon, the largest opera company east of Montreal. He also serves on the Board of Shorefast Social Enterprises, a suite of social businesses including the award-winning Fogo Island Inn, that are part of the Shorefast charity. Mr. Woodbury is also on the Board of the Alliance for Transportation Electrification and is active with the Edison Electric Institute and Electric Power Research Institute.

  From 1998 to 2006, Mr. Zurel was Senior Vice President and Chief Financial Officer of CHC Helicopter Corporation. Mr. Zurel serves on several private and public sector boards, including Highland Copper Company Inc. and Major Drilling Group International Inc. He also serves on the board of the Institute of Corporate Directors.

  Tracey C. Ball is a Corporate Director of Fortis.
  
  Ms. Ball retired in September 2014 as Executive Vice President and Chief Financial Officer of Canadian Western Bank Group. Prior to joining a predecessor to Canadian Western Bank Group in 1987, she worked in public accounting and consulting. Ms. Ball has served on several private and public sector boards, including the Province of Alberta Audit Committee and the Financial Executives Institute of Canada.
  
  Ms. Ball graduated from Simon Fraser University with a Bachelor of Arts (Commerce). She is a member of the Chartered Professional Accountants of Alberta and the Chartered Professional Accountants of British Columbia. Ms. Ball was elected as a Fellow of the Chartered Professional Accountants of Alberta in 2007. She holds an ICD.D designation from the Institute of Corporate Directors.
  
  Ms. Ball was appointed to the Audit Committee in May 2014 and served as the Chair of the Audit Committee from May 2017 to May 2021.   Pierre J. Blouin is Chair of the Governance and Sustainability Committee of Fortis. 
  
  Mr. Blouin served as the Chief Executive Officer of Manitoba Telecom Services, Inc. until his retirement in December 2014. Prior to joining Manitoba Telecom Services, Inc. as its Chief Executive Officer in 2005, Mr. Blouin held various executive positions in the Bell Canada Enterprises group of companies, including Group President, Consumer Markets for Bell Canada, Chief Executive Officer of BCE Emergis, Inc. and Chief Executive Officer of Bell Mobility.
  
  Mr. Blouin graduated from Hautes Etudes Commerciales with a Bachelor of Commerce in Business Administration. He is a Fellow of the Purchasing Management Association of Canada.

  Mr. Borgard is the former President and Chief Operating Officer of Integrys Energy Group and the Chief Executive Officer of each of Integrys’ six regulated electric and natural gas utilities. Mr. Borgard retired in 2015, following the successful sale of Integrys. Prior to serving as President at Integrys, Mr. Borgard served in a variety of executive roles.

  Ms. Clark retired from Direct Energy, a subsidiary of Centrica plc, in March 2014 where she was President of Direct Energy Business, a leading energy retailer in Canada and the United States. Previously, Ms. Clark was Executive Vice President of North American Strategy and Mergers and Acquisitions for Direct Energy. Ms. Clark's prior experience includes investment banking and serving as Chief Financial Officer of an independent oil refining and marketing company.
  
  Ms. Clark graduated from Queen′s University with a Bachelor of Arts in Economics. She is a member of the Association of Chartered Professional Accountants of Ontario.

  Lisa Crutchfield is a Corporate Director of Fortis.
  
  Ms. Crutchfield is Managing Principal of Hudson Strategic Advisers, LLC, an economic analysis and strategic advisory firm to the energy, financial services and government sectors. Ms. Crutchfield has over 30 years of leadership experience in the energy and utility industries. Prior to founding Hudson in 2012, she was Executive Vice President and Chief Regulatory, Risk and Compliance Officer for National Grid, plc, and she held various executive roles at PECO, an Exelon Company, and Duke Energy Corporation. From 1993 to 1997, Ms. Crutchfield served as Vice Chairman on the Pennsylvania Public Utility Commission ruling on regulatory matters affecting the electric, gas, telecommunications, water and wastewater industries.
  
  Ms. Crutchfield earned a Bachelor of Arts degree in Economics and Political Science from Yale University and an MBA from Harvard Business School with distinction in Finance. Ms. Crutchfield earned the Governance Leadership Fellow designation from the National Association of Corporate Directors (NACD).

  Ms. Dilley retired from ASTROLINK International LLC in 2004, an international wireless broadband telecommunications company, where she was Vice President and Chief Financial Officer. Ms. Dilley’s prior experience includes serving as Director, Strategy & Corporate Development as well as Treasurer for Intelsat.
  
  Ms. Dilley graduated from Cornell University with a Bachelor of Arts, from Columbia University with a Master of Arts and from Wharton Graduate School, University of Pennsylvania with an MBA.

She was Chief Operating Officer at Telecorp PCS, Inc. and held various senior management positions with Bell Atlantic Corporation during her 18-year career with the company.

• Lisa L. Durocher, Corporate Director
  Lisa L. Durocher is Executive Vice President, Financial and Emerging Services, Rogers Communications Inc.
  
  Ms. Durocher leads Financial and Emerging Services at Rogers Communications. As part of the executive leadership team, she oversees Rogers Bank and develops emerging services for the company. Prior to this role, Lisa was the Chief Digital Officer at Rogers where she led the digital strategy, design and delivery for digital platforms across the consumer and enterprise businesses. Lisa has been with Rogers since 2016. Prior to joining Rogers, Lisa worked at American Express in New York City where she held several senior leadership positions over 15 years including leading global product and marketing organizations in digital payments, charge cards and travel which provided her with experience in mergers and acquisitions, product design and development and general management.

  Mr. Hutchens’ career in the energy sector spans more than 25 years, having held a variety of positions at the Corporation’s electric and gas utilities in Arizona as well as with Fortis. Mr. Hutchens was most recently Chief Operating Officer of Fortis as well as Chief Executive Officer of UNS Energy Corporation in Arizona. Prior to that, he was Executive Vice President of Western Utility Operations of Fortis while also maintaining his responsibilities as President and CEO of UNS Energy Corporation.
  
  Mr. Hutchens earned a Bachelor of Aerospace Engineering and an MBA from the University of Arizona and is a former nuclear submarine officer in the U.S. Navy.
  
  He serves on the Boards of ITC Holdings, FortisBC and FortisAlberta, all Fortis utilities.  
  
• Gianna M. Manes, Corporate Director
  Gianna M. Manes is a Corporate Director of Fortis.
  
  Ms. Manes was President and Chief Executive Officer of ENMAX Corporation, an electricity company with operations in Alberta and Maine, from 2012 until her retirement in July 2020. She has over 30 years of experience in the energy sector in Canada, the United States and Europe. Prior to joining ENMAX, she worked for Duke Energy, one of the largest integrated utilities in North America, and held a number of executive positions including Senior Vice President and Chief Customer Officer from 2008 to 2012.
  
  Ms. Manes graduated from Louisiana State University with a Bachelor of Science in industrial engineering and from the University of Houston with an MBA. She completed the Advanced Management Program at Harvard University and holds an ICD.D designation from the Institute of Corporate Directors.
  
  Ms. Manes was appointed to the Human Resources Committee in May 2021 and the Governance and Sustainability Committee in May 2023. She served on the Audit Committee from May 2021 to May 2023.

• Donald R. Marchand, Corporate Director
  Donald R. Marchand is a Corporate Director of Fortis.
  
  Mr. Marchand retired in November 2021 from TC Energy Corporation, a leading North American energy infrastructure company, where he was Executive Vice-President. He served as Chief Financial Officer of TC Energy and its predecessor TransCanada Corporation from 2010 until July 2021, with additional responsibility for Strategy and Corporate Development from 2015 to 2017 and 2020 to 2021. During his 27-year tenure with the company, Mr. Marchand led many of its financial functions including treasury, finance, accounting, taxation, risk management and investor relations.
  
  Mr. Marchand graduated from the University of Manitoba with a Bachelor of Commerce degree and subsequently qualified as a Chartered Accountant and Chartered Financial Analyst. He is a member of the Institute of Chartered Professional Accountants of Alberta, the CFA Institute and the Calgary Society of Financial Analysts.
  
  Mr. Marchand was appointed to the Audit Committee and Governance and Sustainability Committee in May 2023.
